Please read these Terms and Conditions carefully before engaging our services. By contacting us, signing a proposal, or making a payment to Digital Munkies, you confirm that you have read, understood, and agreed to be bound by these terms.
Definitions
Throughout these Terms and Conditions, the following definitions apply:
- “Agency” / “We” / “Us” / “Our” refers to Digital Munkies, operating from Plot No. 16, B/S Radha Rani Caterer’s, Poonam Nagar Society, Near Swami Vivekanand Garden, Bhatar, Surat – 395007, Gujarat, India.
- “Client” / “You” / “Your” refers to any individual, business, or organisation that engages Digital Munkies for services.
- “Services” refers to Social Media Marketing, Meta Ads & SEO, Podcast Production, and Studio Rental provided by Digital Munkies.
- “Agreement” refers to these Terms and Conditions along with any project proposal or service contract entered into between the Agency and the Client.
- “Deliverables” refers to any work product, content, creative material, or output produced by us as part of the Services.
- “Contract Period” refers to the minimum engagement duration of six (6) consecutive months as described in Section 4.
Acceptance of terms
By submitting an enquiry, signing a proposal, or making a payment to Digital Munkies, you acknowledge that you have read and agree to these Terms and Conditions in full.
If you are entering into this Agreement on behalf of a company or legal entity, you confirm that you have the authority to bind that entity to these terms. If you do not agree, you must not engage our services.
These Terms and Conditions apply to all clients and users of Digital Munkies’ services, regardless of the medium through which services are engaged.
Our services
Digital Munkies offers the following core services. The specific scope, deliverables, and timelines for each engagement are defined in a proposal agreed upon by both parties:
- Social Media Marketing: Strategy, content creation, scheduling, community management, and performance reporting across social platforms
- Meta Ads & SEO: Paid advertising campaign management on Meta platforms (Facebook & Instagram) and search engine optimisation to improve organic visibility
- Podcast Production: End-to-end podcast planning, recording support, editing, and distribution across major podcast platforms
- Studio Rental: Access to our professional studio space for recording, shooting, and content creation, subject to availability and individual booking terms
We reserve the right to decline any project or engagement at our sole discretion.
Minimum contract period
All ongoing service engagements with Digital Munkies are subject to a minimum contract period of six (6) consecutive months from the commencement date stated in the signed agreement.
- The Client agrees to retain Digital Munkies’ services for the full minimum contract period of 6 months
- Early termination within the minimum contract period does not entitle the Client to a refund of any fees already paid
- Remaining months in a terminated contract may still be invoiced and must be paid in full
- After the initial 6-month period, a renewal agreement will be issued before the current term expires
- Studio Rental bookings are exempt from the minimum contract period and are governed by individual booking terms
Terminating the engagement before the 6-month minimum period does not release the Client from payment obligations for the remaining contracted months.
Client responsibilities
To ensure successful delivery of our services, the Client agrees to:
- Provide accurate, complete, and timely information, materials, and approvals required for service delivery
- Designate a primary point of contact with authority to make decisions on behalf of the Client
- Review and provide feedback on deliverables within agreed timeframes
- Ensure all content, images, or assets provided to Digital Munkies are owned by the Client or properly licensed
- Grant necessary access to social media accounts, ad accounts, and platforms required to deliver the services
- Make full advance payments as required before work commences each month
Delays caused by the Client — including late feedback, missing assets, or withheld access — may impact delivery timelines. Digital Munkies will not be held responsible for delays arising from the Client’s failure to fulfil these responsibilities.
Payments & fees
All fees are outlined in the project proposal or invoice. The following payment terms apply unless otherwise agreed in writing:
- 100% advance payment: Full payment for each month’s services is required in advance before any work commences for that period — no exceptions
- Non-refundable: All payments made to Digital Munkies are strictly non-refundable, including in cases of early termination or mid-period cancellation
- Studio Rental: Full payment is due at time of booking. Cancellations less than 48 hours before the scheduled booking are non-refundable
- Work suspension: Failure to make advance payment by the due date may result in immediate suspension of services until payment is received
- Currency: All fees are quoted and payable in Indian Rupees (INR) unless otherwise stated
- Taxes: All applicable taxes including GST are the responsibility of the Client and will be indicated on invoices
Work for any given month will not commence until 100% of that month’s fee has been received in full. Digital Munkies bears no liability for delays resulting from late or missing payment.
Intellectual property
Upon receipt of full payment for a given period, the Client receives rights to use the deliverables produced during that period for their intended commercial purpose.
- Digital Munkies retains ownership of all creative concepts, strategies, templates, and methodologies used in service delivery
- The Client may not resell, sublicense, or repurpose deliverables beyond their intended use without written consent
- Digital Munkies reserves the right to showcase completed work in our portfolio and promotional materials unless the Client requests confidentiality in writing
- Third-party assets (stock media, music, fonts, tools) remain subject to their respective licences and are not exclusively transferred to the Client
Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement, including business strategies, financial data, and client information.
- Confidential information must not be disclosed to any third party without prior written consent
- Both parties will take reasonable precautions to protect confidential information
- This obligation continues for 2 years after the termination of the engagement
Confidentiality obligations do not apply to information that is publicly available, independently developed, or required to be disclosed by law.
Limitation of liability
To the fullest extent permitted by applicable law, Digital Munkies shall not be liable for any indirect, incidental, or consequential damages including:
- Loss of revenue, profits, or business opportunities
- Loss or corruption of data
- Business interruption or reputational harm
- Performance or availability of third-party platforms such as Meta, Google, or podcast distribution services
Our total liability for any claim shall not exceed the total fees paid by the Client to Digital Munkies in the month immediately preceding the claim.
Digital Munkies does not guarantee specific results such as follower growth, ad performance, search rankings, or revenue outcomes, as these depend on factors beyond our control including platform algorithms and market conditions.
Termination
Termination by the Client
- The Client may choose not to renew after the 6-month minimum period by providing 30 days’ written notice before the renewal date
- Early termination within the minimum contract period does not entitle the Client to any refund, and remaining months may still be invoiced
- All fees paid are strictly non-refundable
Termination by Digital Munkies
- We may terminate an engagement if the Client breaches these Terms, including non-payment, abusive conduct, or illegal activity
- No refund will be issued for the current contracted period upon termination for cause
- We will provide written notice of termination where possible
Warranties & disclaimers
Digital Munkies warrants that services will be performed with reasonable skill, care, and professionalism in accordance with the agreed scope of work.
We do not warrant or guarantee specific outcomes including follower counts, ad return on investment, search engine rankings, podcast downloads, or revenue generated as a result of our services, as these depend on factors outside our control.
Our website and its content are provided “as is” without warranties of any kind, express or implied, including fitness for a particular purpose or uninterrupted availability.
Governing law
These Terms and Conditions are governed by and construed in accordance with the laws of India, specifically the applicable statutes of the State of Gujarat.
Any disputes shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be subject to the exclusive jurisdiction of the courts located in Surat, Gujarat, India.
Changes to these terms
Digital Munkies reserves the right to update or modify these Terms and Conditions at any time. Changes will be effective immediately upon communication to the Client or posting on our website.
Continued engagement of our services after notification of changes constitutes your acceptance of the revised terms.
